Nomadic, LLC Software License Agreement

Effective Date: 7/21/23

This Agreement ("Agreement") governs the use of the software and services provided by Nomadic LLC, a company registered and located at #9, 133 Church St, Asheville, NC 28805, United States ("Company," "we," "our," or "us"). By using our marketing, sales, financial, and operations dashboards ("Software"), you agree to be bound by this Agreement. If you do not agree with this Agreement, you must not use our Software.

License Grant: 

  • 1.1. Subject to compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Software solely for your internal business purposes.

Use of Software: 

  • 2.1. You shall use the Software in accordance with this Agreement and all applicable laws and regulations. 
  • 2.2. You shall not, under any circumstances: a. Reverse engineer, decompile, or disassemble the Software or any part thereof. b. Modify, adapt, translate, or create derivative works based on the Software. c. Use the Software for any illegal, fraudulent, harmful, or malicious purposes. d. Violate the intellectual property rights of the Company or any third party related to the Software. e. Share or disclose your login credentials or allow unauthorized access to the Software. f. Use the Software to compete with the Company or provide similar services.

Data Privacy and Security: 

  • 3.1. Our privacy policy governs the collection, use, storage, and disclosure of personal and non-personal information provided by you when using the Software. By using the Software, you consent to the practices described in our Privacy Policy.

Intellectual Property: 

  • 4.1. All intellectual property rights, including copyrights, trademarks, trade secrets, and patents, in the Software and its content, remain the exclusive property of the Company. 4.2. You shall not remove, obscure, or alter any copyright, trademark, or proprietary rights notices appearing on or in the Software.

Disclaimers and Limitations of Liability: 

  • 5.1. The Software is provided "as is" and "as available," without any warranties or guarantees of any kind, whether express or implied. 
  • 5.2. In no event shall the Company be liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising from the use or inability to use the Software or its content, even if advised of the possibility of such damages. 
  • 5.3. The Company disclaims all liability for the accuracy, completeness, or usefulness of the information or data provided through the Software.

Termination: 

  • 6.1. Licensor may terminate this agreement at any time by providing written notice to the other party. 
  • 6.2. Upon termination, your right to use the Software shall cease, and you must immediately cease all access and use of the Software.

Modifications to the Agreement:

  •  7.1. The Company reserves the right to modify this Agreement at any time by posting the updated version on our website or providing notice to you through the Software. 
  • 7.2. Your continued use of the Software after any modifications to this Agreement shall constitute your acceptance of the revised Agreement.

Governing Law and Jurisdiction:

  •  8.1. This Agreement shall be governed by and construed in accordance with the laws of the state of North Carolina, without regard to its conflicts of law principles. 
  • 8.2. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Asheville, North Carolina.

Entire Agreement: 

  • 9.1. This Agreement constitutes the entire agreement between you and the Company concerning the Software and supersede all prior or contemporaneous agreements, understandings, representations, or warranties, whether oral or written.
